Parties	These terms govern supply by White Label Peptides, registered in the Netherlands under KVK 71257438, to business buyers. They apply to every order to the exclusion of any terms the buyer purports to impose.
Formation	A quotation is an invitation to treat and is valid only for the period stated on it. No order is binding until confirmed by us in writing. Our written confirmation and these terms are the entire agreement between the parties.
No reliance	The buyer acknowledges that it has not relied on any statement, representation, assurance or warranty that is not set out in our written order confirmation and these terms. Nothing on our website, in correspondence, or in any marketing material forms part of the contract. This clause does not exclude liability for fraudulent misrepresentation.
Specification	Goods conform to the written specification for the batch supplied and to nothing else. All other warranties, conditions and terms implied by statute or common law are excluded to the fullest extent permitted by law.
Private label approval	Where an order carries the buyer's branding, production does not begin until the buyer has approved label and packaging proofs in writing. The buyer is solely responsible for the accuracy, compliance and lawfulness of the artwork and copy it approves, and indemnifies us in respect of it.
Documentation	A batch-specific Certificate of Analysis is issued with each order. Where agreed, certificates may reference the buyer's product and brand name. Certifications applicable to the manufacturing site are those of that site.
Delivery	Delivery dates are estimates given in good faith and time is not of the essence. Risk passes on delivery to the buyer or its nominated carrier. We are not liable for any loss arising from delay.
Payment	Invoices are payable on the terms stated, in full and without set-off. Intra-EU supplies to a validated VAT number are subject to the reverse charge. We may suspend supply while any sum is overdue.
Inspection and returns	The buyer inspects goods on delivery and notifies any shortage, damage or non-conformity in writing, quoting the batch number, within seven days. Given the nature of the goods, returns are not accepted except where goods do not conform to their specification or where a mandatory rule of law requires otherwise.
Limitation of liability	Our total liability arising out of or in connection with any order, whether in contract, tort, breach of statutory duty or otherwise, is limited to the price paid for the goods giving rise to the claim. We are not liable for loss of profit, loss of business, loss of goodwill, regulatory penalty, product recall cost, or any indirect or consequential loss however arising. Nothing in these terms limits liability for death or personal injury caused by negligence, or for fraud.
Compliance	The buyer complies with all laws applicable to its purchase, import, storage and onward supply, including export control and sanctions. The buyer indemnifies us against any loss arising from its failure to do so.
Force majeure	Neither party is liable for failure or delay caused by an event beyond its reasonable control, including act of state, regulatory intervention, failure of a supplier, or restriction on the movement of goods.
Suspension and termination	We may decline or cancel any order, or suspend supply to any buyer, at our discretion and without liability, including where we consider that supply may be unlawful in the destination market.
Third parties	No person other than a party to the contract has any right to enforce any of its terms.
Severability	If any provision is held unenforceable, the remainder continues in force.
Governing law	Netherlands law governs these terms and any dispute arising from them. The courts of the Netherlands have exclusive jurisdiction.
